Refer a Friend Programme Terms and Conditions
1.The Refer a Friend Programme (the “Programme”) is being run by OKTOPAY UK LIMITED, a company incorporated in England (company number: 13003314) with registered office at 20 Ashfield Road, Leicester, England, LE2 1LA ( hereinafter referred to as “OKTO”), acting as an EMD Agent of PayrNet Limited, a company incorporated in England and Wales (company number: 09883437) with its registered office at “PayrNet, WeWork, 3 Waterhouse Square, 138 Holborn, London, EC1N 2SW, UK” authorized as an Electronic Money Institution (“EMI”) by the Financial Conduct Authority under the Electronic Money Regulations 2011 (“EMR 2011”) (register reference 900594) for the issuing of electronic money.
2. The Programme is subject to these Refer a Friend Terms and Conditions as well as the OKTO Consumer Terms and Conditions set forth on the OKTO Website (www.oktowallet.com).
3. Taking part in the Programme constitutes acceptance of these Refer a Friend Terms and Conditions. If you do not agree to the above terms and conditions, please do not participate in the Programme in any manner. Individuals should not participate in the Programme where doing so would be prohibited by any applicable law or regulation.
4. The participation in the Programme is free.
5. Eligibility
Eligible participants in the Refer a Friend Programme must meet the below criteria:
- The person who refers a friend (the “Referring User”) must be a user who holds an electronic payments account with OKTO (“OKTO Account” or “OKTO Wallet”) who has registered and has opened an OKTO Account within the last seven (7) days prior to sharing the Referral Link; and
- the person invited to open an OKTO Account (the “Invited Friend”) must not already have an OKTO Account.
Each of the Referring User and the Invited Friend must also:
- be a natural person and at least 18 years of age;
- be a resident in the United Kingdom.
6. Participation Process
For the Referring User to participate in the Refer a Friend Programme and invite others, they must, within seven (7) days following their registration and opening of an OKTO Account, log into their OKTO Account via the OKTO App and tap on the Refer a Friend tile on the in-app home screen or in any screen that the respective tile appears within the OKTO app.
The Referring User must share a unique referral link (“Referral Link”) by selecting a friend from their contact list. The Referring User will be able to choose the method by which the Referral Link will be sent to the Invited Friend (e.g., via WhatsApp, Messenger, SMS etc.).
7. Earning the Refer a Friend Bonus
The Refer a Friend Bonus of five GBP (5 £) will be earned by the Referring User and the Invited Friend provided all of the following conditions (the “Bonus Requirements”) are met:
- Referring User shares the Referral Link with the Invited Friend as described in section 6 above.
- The Invited Friend clicks on the shared Referral Link, fills in their mobile phone and follows the necessary steps to download the OKTO App;
- The Invited Friend completes the registration and verification process for opening a new OKTO Account, in accordance with the OKTO KYC/AML Levels and Limits set forth on the OKTO Website here
- The Invited Friend tops up their OKTO Wallet.
- The Invited Friend makes at least one deposit of ten GBP (10 £) minimum, to one of OKTO’S collaborating merchants in the United Kingdom.
8. Receiving the Refer a Friend Bonus
The Refer a Friend Bonus of five GBP (5 £) will automatically be credited to both the Referring User’s and the Invited Friend’s OKTO Account, once the Bonus Requirements set above under section 7 are met.
The Refer a Friend Bonus can be used for any available transactions via the OKTO App, in accordance always with the OKTO KYC/AML Levels and Limits set forth on the OKTO Website, except for peer-to-peer transactions.
The Refer a Friend Bonus is provided as is and no substitutions are permitted. Also, the Bonus is not transferable and may not be auctioned, traded, bartered or sold.
All of OKTO’s decisions regarding any aspect of the Refer a Friend Bonus is final and binding, and no correspondence will be entered into about it.
OKTO makes no representation or warranty in relation to the Refer a Friend Bonus provided and, to the fullest extent permitted by law, OKTO shall have no liability in relation to the use of the Refer a Friend Bonus.
9. Duration
The Refer a Friend Bonus will be available to the eligible participants from Thursday 10th of November 2022 (00.00h UTC +1) (“Start Date”) until one thousand (1,000) Refer a Friend Bonuses have been received by the users (meaning both by Referring Users and Invited Friends).
10. Limitations
The Referring User may earn a maximum of five hundred GBP (500 £) in total from Refer a Friend Bonuses until the end of the Programme (as defined in section 9).
The Invited Friend cannot combine multiple Referral Links from different Referring Users when creating an OKTO Account. In case the Invited Friend receives a Referral Link from two (2) or more Referring Users, the Refer a Friend Bonus will be credited, in accordance with the conditions in section 7, to the Invited Friend as well as to the Referring User with the most recently shared Referral Link, which was also used by the Invited Friend to fill in his/her mobile number and to subsequently download the OKTO App by following the necessary steps as mentioned in section 7 above.
The Refer a Friend Programme can only be used for personal, non-commercial purposes
OKTO reserves the right, at its sole discretion, to decline registration of any participation in this Refer a Friend Programme and/or disqualify any participant in the Refer a Friend Programme in case of tampering or attempt to tamper with the operation of the Programme (“Refer a Friend Abuse”).
Specifically, a Refer a Friend Abuse includes, but is not limited to:
- breach of these Refer a Friend Terms and Conditions and/or any of the OKTO Consumer Terms and Conditions set forth on the OKTO Website;
- the opening of multiple accounts to claim multiple Refer a Friend Bonuses;
Where there is a reasonable suspicion that the participant has committed or attempted to commit a Refer a Friend Abuse, either on their own or as part of a group, OKTO reserves the right to (cumulatively or selectively):
- forfeit the Refer a Friend Bonus allocated to the participant’s OKTO Account;
- revoke, deny, or withdraw the Refer a Friend Bonus from the participant’s OKTO Account;
- exclude the participant from any future promotional offer;
- terminate the participant’s OKTO Account with immediate effect, according to the provisions of the OKTO Consumer Terms and Conditions.
Under no circumstances shall OKTO be liable for any consequences of the Refer a Friend Programme cancellation or decline.
The value of the Refer a Friend Bonus may be considered taxable income. The recipient of the Bonus is responsible for any taxes resulting from the Bonus and should consult a tax advisor if he/she has questions about the tax treatment of the Bonus.
10. Intellectual Property
By participating in this Refer a Friend Programme, the Users gain no right whatsoever to the trademarks, brand names, logos and/or other OKTO intellectual property.
11. Limitation of Liability
OKTO does not accept any liability for any damage, loss, injury or disappointment (including without limitation any loss of profits, loss of revenue, loss of goodwill) suffered by any participant that arises out of or in connection with the Refer a Friend Programme or as a result of either participating in the Refer a Friend Programme, receiving the Refer a Friend Bonus or using the Refer a Friend Bonus, save that OKTO does not exclude its liability for death or personal injury as a result of its own negligence.
If an act, omission, event or circumstance occurs which is beyond the reasonable control of OKTO and which prevent OKTO from complying with these terms and conditions, OKTO will not be liable for any failure to perform or delay in performing its obligations.
12. Data Protection
Participant’s personal data may be collected, stored and processed for the purposes of administering and assessing the Refer a Friend Programme. OKTO will comply with all requirements of the applicable UK data protection legislation. For more information on how OKTO processes personal data, please see OKTO’s Privacy Policy.
13. General
OKTO reserves the right to cancel, withdraw, terminate, or temporarily suspend this Refer a Friend Programme or amend these Terms and Conditions at any time, in case of unavoidable circumstances beyond OKTO’s control that make it necessary and to the extent this would not be unfair or will not disadvantage those who sought to participate within the original terms. In the above cases, OKTO bears no responsibility towards the participants and the participants are not able to request the completion or continuation of the Refer a Friend Programme and/or to claim damages.
If these Terms and Conditions are amended, any participant that wishes to withdraw its participation in the Refer a Friend Programme shall send an e-mail to support@oktopay.eu stating explicitly that it wishes to withdraw its participation. If the participants do not withdraw their participation by following the above procedure, their participation in the Refer a Friend Programme will be considered valid, and it will imply that they tacitly and unconditionally accept the terms and conditions of the Refer a Friend Programme, as these are amended.
If any of these clauses should be determined to be illegal, invalid, or otherwise unenforceable then it shall be severed and deleted from these terms and conditions and the remaining clauses shall survive and remain in full force and effect.
The Refer a Friend Programme and these Terms and Conditions shall be governed by and construed with the laws of England and any disputes will be subject to the exclusive jurisdiction of the Courts of England
